1. Agreement to Terms

By accessing or using ConvertEverything.io ("Service", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and ConvertEverything.io. Please read them carefully.

2. Service Description

ConvertEverything.io provides file conversion services, enabling users to convert files between various formats including but not limited to audio, video, images, documents, ebooks, archives, and data formats. The Service is available through:

• Web Application: Our primary website at converteverything.io
• Mobile Applications: Native applications for iOS (iPhone, iPad) and Android devices, available through the Apple App Store and Google Play Store respectively
• API Access: Programmatic access to our conversion services for developers and integrations
• MCP Server: Model Context Protocol server for integration with AI assistants and tools (such as Claude, ChatGPT, and other AI platforms)

The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Eligibility

3.1 Age Requirement

You must be at least 13 years of age to use this Service. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms.

3.2 Account Registration

To access certain features of the Service, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy.

3.3 Jurisdictional Restrictions

You may not use the Service if you are located in a country embargoed by the United States or New Zealand, or if you are on any government list of prohibited or restricted parties. You are responsible for compliance with all local laws applicable to your use of the Service.

4. User Accounts

4.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us at [email protected] if you suspect any unauthorized use of your account or any other security breach.

4.2 Account Sharing

Accounts are for individual use only. You may not share your account credentials with others or allow multiple individuals to use your account. We reserve the right to terminate accounts that we reasonably believe are being shared or used by multiple parties.

4.3 Account Termination by User

You may delete your account at any time through your account settings. If you cannot access your account, you can submit a deletion request at converteverything.io/delete-my-data. Upon deletion, your account information and any stored files will be permanently removed in accordance with our Privacy Policy.

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for personal or internal business purposes.

5.2 Prohibited Conduct

You agree NOT to:

• Upload, convert, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Upload content that infringes upon any patent, trademark, trade secret, copyright, or other intellectual property rights of any party
• Upload content containing child sexual abuse material (CSAM) or any content that exploits minors
• Upload malware, viruses, trojans, worms, or any malicious code or software
• Upload content that violates the privacy rights of any third party

Service Abuse:

• Attempt to bypass, circumvent, or disable any usage limits, security features, or access controls
• Use automated scripts, bots, or other automated means to access or use the Service without our express written permission
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Interfere with or disrupt the integrity or performance of the Service or its related systems
• Attempt to gain unauthorized access to any portion of the Service, other accounts, or computer systems or networks connected to the Service
• Use the Service to send spam, chain letters, or other unsolicited communications
• Resell, sublicense, or provide the Service to third parties without our express written consent
• Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks

5.3 Monitoring and Enforcement

We reserve the right, but are not obligated, to monitor use of the Service for violations of these Terms. We may, in our sole discretion and without notice, remove any content, suspend or terminate your account, or take any other action we deem necessary to enforce these Terms or protect the Service and its users.

6. Intellectual Property

6.1 Service Ownership

The Service, including its original content, features, and functionality, is owned by ConvertEverything.io and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content

You retain all ownership rights to the files you upload to the Service ("Your Content"). By uploading files, you grant us a limited, non-exclusive, royalty-free license to process Your Content solely for the purpose of providing the conversion services you request. This license terminates upon deletion of your files.

We do not claim any ownership interest in Your Content, and nothing in these Terms restricts any rights you may have to use Your Content.

6.3 Copyright Infringement

You are solely responsible for ensuring that you have the legal right to upload and convert any files you submit to the Service. We respect the intellectual property rights of others and expect our users to do the same.

If you believe that your copyrighted work has been used on our Service in a way that constitutes copyright infringement, please contact us at [email protected] with the following information:

• A description of the copyrighted work you claim has been infringed
• A description of where the allegedly infringing material is located on the Service
• Your contact information (address, telephone number, and email address)
• A statement that you have a good faith belief that the use is not authorized by the copyright owner
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
• Your physical or electronic signature

7. Membership Tiers and Service Limitations

7.1 Service Tiers

The Service offers various membership tiers, each with different features, file size limits, conversion limits, and file retention periods. Current tier details and pricing are available on our pricing page.

7.2 Usage Limits

All membership tiers, including paid tiers, are subject to usage limits including but not limited to:

• Maximum file size per conversion
• Monthly conversion quotas
• Concurrent conversion limits
• File storage/retention periods

These limits are subject to change. We will provide reasonable notice of any material changes to paid tier limits.

7.3 Fair Use

All tiers are subject to fair use policies. We reserve the right to throttle, suspend, or terminate accounts that exhibit usage patterns we deem excessive or abusive, even if within stated limits.

7.4 Download Access

Converted files are made available through our download portal. Download access varies by membership tier:

• Non-members (anonymous): 30-second countdown with advertisements
• Basic (free account): 15-second countdown with advertisements
• Bronze/Silver/Gold subscribers: Instant download with no countdown or advertisements

Download links are shareable and remain valid for the duration of the file retention period. Each download requires verification to prevent automated access.

8. Mobile Applications

8.1 Availability

Our mobile applications are available for iOS (iPhone and iPad) through the Apple App Store, and for Android devices through the Google Play Store. Use of the mobile applications is subject to these Terms as well as the terms and conditions of the respective app stores.

8.2 App Store Terms

When you download or use our mobile applications, you also agree to be bound by the terms and conditions of the respective platform:

• Apple App Store: Apple's Terms of Service and App Store Review Guidelines apply to iOS users
• Google Play Store: Google Play's Terms of Service apply to Android users

In the event of any conflict between these Terms and the applicable app store terms, these Terms shall prevail to the extent permitted by the app store terms.

8.3 In-App Purchases and Subscriptions

Subscriptions purchased through our mobile applications are processed by the respective app store (Apple or Google). Billing, payment processing, and refunds for in-app purchases are handled according to the policies of the app store through which you made the purchase. To manage or cancel subscriptions purchased through an app store, please use the subscription management features provided by that platform.

8.4 Device Permissions

Our mobile applications may request access to certain device features and data to provide our services, including but not limited to:

• Storage access to read files you wish to convert and save converted files
• Camera access for document scanning features (optional)
• Photo library access to convert images
• Network access for file upload and download
• Push notifications for conversion status updates

You can manage these permissions through your device settings at any time. Denying certain permissions may limit the functionality of the application.

8.5 Offline Functionality

While some features of our mobile applications may be available offline, file conversion requires an active internet connection to process files on our servers. Files selected for conversion while offline will be queued and processed when connectivity is restored.

8.6 Updates

We may release updates to our mobile applications to fix bugs, add features, or address security vulnerabilities. We recommend enabling automatic updates to ensure you have the latest version. Continued use of outdated versions may result in reduced functionality or security risks.

9. API and MCP Server Access

9.1 API Access

We provide an Application Programming Interface (API) that allows developers to integrate our conversion services into their own applications and workflows. API access is subject to these Terms and any additional API-specific terms or documentation we provide.

9.2 MCP Server Integration

We offer a Model Context Protocol (MCP) server that enables integration with AI assistants and tools, including but not limited to Claude, ChatGPT, and other AI platforms. The MCP server allows AI systems to perform file conversions on behalf of users who have authorized such integrations.

9.3 API Keys and Authentication

Access to our API and MCP server requires authentication through API keys issued to your account. You are responsible for:

• Keeping your API keys confidential and secure
• All activities that occur using your API keys
• Immediately notifying us if you suspect unauthorized use of your API keys
• Rotating or revoking compromised API keys

We reserve the right to revoke API keys that are misused, shared publicly, or associated with Terms violations.

9.4 Rate Limits and Usage

API and MCP server access is subject to rate limits based on your subscription tier. Exceeding rate limits may result in temporary throttling or suspension of API access. We reserve the right to modify rate limits at any time with reasonable notice.

9.5 Third-Party Integration Responsibility

If you integrate our API or MCP server into third-party applications or provide access to end users, you are responsible for ensuring that such use complies with these Terms. You must not misrepresent our Service or claim any official partnership or endorsement unless explicitly authorized in writing.

9.6 AI Integration Specific Terms

When using our MCP server with AI assistants:

• Conversions performed by AI assistants on your behalf count toward your conversion limits
• You remain responsible for all content converted through AI integrations
• AI assistants should not be used to circumvent our Terms or abuse the Service
• Files processed through AI integrations are subject to the same retention policies as other conversions

10. Payment Terms

10.1 Subscription Billing

Paid subscriptions are billed on a recurring monthly basis. By subscribing to a paid tier, you authorize us to charge your designated payment method on a monthly basis until you cancel.

10.2 Payment Processing

All payments are processed securely by Stripe, Inc. By providing payment information, you agree to Stripe's terms of service. We do not store your full payment card details on our servers.

10.3 Pricing Changes

We reserve the right to change our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following notice of the change. Continued use of the Service after a price change constitutes acceptance of the new pricing.

10.4 Taxes

Stated prices do not include applicable taxes. You are responsible for paying all taxes associated with your use of the Service. If we are required to collect or pay taxes on your behalf, such taxes will be added to your bill.

10.5 Failed Payments

If a payment fails, we will attempt to process the payment again. If payment cannot be collected after reasonable attempts, your account may be downgraded to a free tier or suspended until payment is successfully processed.

11. Refund Policy

11.1 Refund Eligibility

We offer refunds within 30 days of purchase under the following circumstances:

• Technical issues that prevented you from using the Service and that we were unable to resolve
• Duplicate charges or billing errors
• Cancellation within 30 days of initial subscription with minimal usage

11.2 Refund Requests

To request a refund, contact us at [email protected] with your account email and reason for the refund request. Refund requests are evaluated on a case-by-case basis.

11.3 Refund Method

Approved refunds will be credited to the original payment method within 5-10 business days, depending on your financial institution.

11.4 Non-Refundable Situations

Refunds will generally not be provided for:

• Failure to cancel before a renewal date
• Dissatisfaction with conversion quality after substantial use
• Account termination due to Terms of Service violations
• Requests made more than 30 days after purchase

12. Cancellation

12.1 How to Cancel

You may cancel your subscription at any time through your account settings or the Stripe billing portal, or by contacting us at [email protected].

12.2 Effect of Cancellation

Upon cancellation, your subscription will remain active until the end of your current billing period. After that, your account will revert to the free tier. Any files stored beyond the free tier's retention period will be deleted.

12.3 No Partial Refunds

We do not provide prorated refunds for partial billing periods unless required by applicable law.

13. Disclaimers

13.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

13.2 No Guarantee of Results

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the Service will be accurate, reliable, or complete
• Any errors in the Service will be corrected
• Converted files will be suitable for any particular purpose

13.3 Conversion Quality

File conversions involve complex processes, and results may vary depending on the source file format, quality, and other factors. We do not guarantee perfect conversion quality or format compatibility in all cases.

13.4 Data Loss

While we take reasonable measures to protect your files during the conversion process, we are not responsible for data loss, corruption, or any damages arising from file processing. You are solely responsible for maintaining backups of your original files.

14. Limitation of Liability

14.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONVERTEVERYTHING.IO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Service
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code that may be transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, transmitted, or otherwise made available through the Service

14.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

14.3 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

14.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless ConvertEverything.io and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of any third party, including intellectual property rights
• Any content you upload to the Service
• Any claim that your content caused damage to a third party

This indemnification obligation will survive the termination of these Terms and your use of the Service.

16. Termination

16.1 Termination by You

You may terminate your use of the Service at any time by deleting your account through your account settings.

16.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Non-payment of applicable fees
• Extended periods of inactivity
• Requests by law enforcement or government agencies
• Unexpected technical or security issues

16.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• All licenses granted to you under these Terms will terminate
• You must cease all use of the Service
• We may delete your account information and any stored files
• Any provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

17. Dispute Resolution

17.1 Informal Resolution

Before filing any formal legal claim, you agree to contact us at [email protected] and attempt to resolve any dispute informally for at least 30 days.

17.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

17.3 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of New Zealand, and you consent to the personal jurisdiction of such courts.

17.4 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ConvertEverything.io regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Service.

18.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

18.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

18.6 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

18.7 Notices

We may provide notices to you via email to the address associated with your account, through the Service interface, or by posting on our website. Notices to us should be sent to [email protected].

18.8 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service and updating the "Last updated" date. For registered users, we will also send email notification of significant changes.

Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Service.
